Referral Program Terms

The Echosaw Referral Program (the “Program”) lets an Echosaw account holder (a “Referrer”) earn a recurring commission when a new customer (a “Referred Customer”) subscribes to a paid Echosaw plan through the Referrer’s referral link. The Program is operated by Orange Sky Software Inc. and is governed by these terms together with the Terms of Service.
The commission is 25% of the Referred Customer’s monthly base subscription price, accrued to the Referrer’s balance on each successful monthly payment:
- Starter ($9/month) → $2.25 per month
- Growth ($19/month) → $4.75 per month
- Pro ($29/month) → $7.25 per month
- Agency ($49/month) → $12.25 per month
Commission is calculated on the monthly base subscription price only. Metered usage charges, overages, taxes, and any other amounts billed in addition to the monthly base price are not commissionable.
Commission accrues from the Referred Customer’s first payment and continues for every subsequent monthly payment for as long as the subscription remains active. Accrual is not payment: a Referred Customer subscribing does not pay the Referrer. Each accrued commission is held for 30 days before it becomes withdrawable, and withdrawable amounts are transferred on the payout schedule and $50 reserve terms described in section 5.
Attribution is recorded when a Referred Customer completes their first paid subscription after arriving through a referral link. Attribution is written once and does not change afterward. A Referrer cannot refer themselves, and a customer who is already attributed to another Referrer cannot be re-attributed.
A referred user who joins an existing organization without purchasing their own subscription does not currently generate commission, because the commission is tied to the referred customer’s own monthly subscription payment.
Each commission is subject to a 30-day holding period that begins on the date of the payment that earned it. The holding period only delays when a commission becomes withdrawable; nothing is forfeited by the passage of time.
Payouts run on the last Friday of each month. When a Referrer’s withdrawable commissions (those past the 30-day holding period) reach $50 or more, Echosaw transfers the amount above a $50 reserve, which remains in the balance while any referral relationship is active. Balances below $50 are not paid out and roll forward to the following month.
Payouts are made through Stripe Connect. A Referrer must complete Stripe payout onboarding before any transfer can be made. Withdrawable commissions for a Referrer without a completed payout account are held and transferred on a later sweep once onboarding is complete.
If a payment that earned a commission is refunded or disputed, the commission is reversed. A commission that has not yet been paid out is cancelled. A commission that has already been paid out is recorded as a negative adjustment and netted against the Referrer’s next payout.
If a Referred Customer cancels their subscription, no further commission accrues from that customer. Commissions already earned keep their holding periods and remain payable. Once the final holding periods have cleared and no referral relationship remains active, the remaining $50 reserve is paid out in full and the balance returns to $0.
Participation requires an Echosaw account and a Referrer who is at least 18 years old. Self-referral, fraudulent or misleading promotion, spam, unauthorized use of the Echosaw name in paid search, and any other abuse of the Program are prohibited and may result in cancellation of unpaid commissions and removal from the Program.
Referral payouts are earnings (income) paid to the Referrer as the payee. They are not a discount, credit, rebate, or refund on the Referrer’s own subscription, and they are paid as non-employee compensation.
- The payee is solely responsible for reporting and paying any taxes owed on referral earnings. Echosaw does not withhold tax from a payout, and nothing in these terms is tax advice.
- The payee must provide accurate tax identity information — a completed Form W-9 for US persons, or the appropriate Form W-8 for non-US persons — through Stripe Connect before any payout is released. Payouts may be withheld or delayed until valid tax information has been provided.
- Orange Sky Software Inc. and/or its payment provider may issue IRS Form 1099 (or the equivalent form for the payee’s jurisdiction) when statutory reporting thresholds are met — currently $600 or more paid in a calendar year — and may share the information required for that reporting with the applicable tax authorities.
- Orange Sky Software Inc. remains the payer of record for referral earnings. Payouts are processed by Stripe, consistent with the payment-processor terms in Section 9 (Payments) of the Terms of Service.
- It is the payee’s responsibility to keep their payout and tax details current. Inaccurate or incomplete information may delay a payout or cause it to be returned.
Echosaw may modify or end the Program at any time. Commissions already earned before a change takes effect remain payable under the terms in place when they were earned.
